1. Taraflar ve kabul

Bu Kullanım Sözleşmesi ("Sözleşme"), Botego Inc. ("Botego", "biz") ile dropshippingnedir.com sitesini, paneli, Chrome eklentisini veya bunlara bağlı herhangi bir hizmeti ("Hizmet") kullanan gerçek ya da tüzel kişi ("Kullanıcı", "siz") arasındadır. Hesap açarken, eklentiyi indirirken veya kabul kutusunu işaretlerken bu Sözleşmeyi elektronik olarak kabul edersiniz; elektronik kabul ıslak imzayla aynı hukuki sonucu doğurur. Kabul etmeden hesap açamaz, eklentiyi indiremez ve Hizmeti kullanamazsınız. 18 yaşından büyük olduğunuzu, bu Sözleşmeyi yapmaya yetkili olduğunuzu ve herhangi bir yaptırım ya da yasak kapsamında olmadığınızı beyan edersiniz.

2. Hizmetin niteliği

Hizmet; ürün araştırma, eşleştirme, listeleme, fiyat/stok takibi, sipariş hazırlama ve benzeri işleri sizin eBay ve Amazon hesaplarınız üzerinden, sizin talimatınız ve ayarlarınızla yapan bir yazılım aracıdır. Botego satıcı değildir; ürün satmaz, satın almaz, depolamaz, göndermez; alıcılarınızla, eBay ile veya Amazon ile aranızdaki ilişkinin tarafı değildir. Botego sizin acenteniz, ortağınız, çalışanınız veya vekiliniz değildir. Botego'nun eBay Inc. veya Amazon.com Inc. ile bir bağlantısı yoktur; bu adlar yalnızca tanımlama amacıyla kullanılır. Beta sürecinde Hizmet eksik, hatalı veya kesintili olabilir.

3. eBay, Amazon ve dropshipping riski

Aşağıdakileri bilerek kabul edersiniz:

• eBay'in dropshipping politikası, bir ürünü başka bir perakendeciden (Amazon dahil) satın alıp doğrudan alıcıya gönderilmesini kısıtlayabilir veya yasaklayabilir. eBay bu nedenle ya da başka bir nedenle ilanlarınızı kaldırabilir, satış limitinizi düşürebilir, ödemelerinizi bekletebilir, mağazanızı askıya alabilir veya kalıcı olarak kapatabilir.
• Amazon, yeniden satış amacıyla yapılan alışverişleri, hediye/alıcı adresine gönderimleri veya hesap kullanımınızı kısıtlayabilir; siparişlerinizi iptal edebilir veya hesabınızı kapatabilir.
• eBay ve Amazon kurallarını, fiyatlarını, sayfa yapılarını ve API'lerini önceden haber vermeden değiştirebilir; bu durumda Hizmetin bazı bölümleri çalışmayabilir.
• Bu risklerin tamamı size aittir. Botego, eBay'in, Amazon'un, ödeme kuruluşlarının, kargo firmalarının veya alıcıların kararlarından ve bunların sonuçlarından (mağaza kapanması, para bekletme, iade, dava, ceza, hesap kaybı dahil) sorumlu değildir.

4. Ürünlerin ve ilanların kontrolü sizin sorumluluğunuzdadır

Hizmet ürün önerebilir, Amazon karşılığını eşleştirebilir, fiyat hesaplayabilir ve (otopilot, otomatik yükleme, otomatik sipariş gibi özellikleri açarsanız) sizin adınıza işlem yapabilir. Bunların hepsi otomatik tahminlerdir ve hatalı olabilir. Bu nedenle:

• Mağazanıza eklenen her ürünü, ilan yayına girmeden önce ve yayındayken kontrol etmekle yükümlüsünüz: ürünün Amazon'da gerçekten bulunduğunu, stokta olduğunu, eşleşmenin doğru ürün/seçenek/adet olduğunu, fiyatın ve kârın doğru olduğunu, teslim süresinin uygun olduğunu.
• Ürünün ve ilanın uyumluluğu sizin sorumluluğunuzdadır: fikri mülkiyet ve marka hakları (VeRO dahil), eBay'in yasaklı ve kısıtlı ürün kuralları, ürün güvenliği ve geri çağırmalar, yaş/lisans gerektiren ürünler, gümrük, etiketleme, satış vergisi ve diğer vergiler, tüketici mevzuatı.
• Hizmetin VeRO, engel listesi, kategori, fiyat veya eşleştirme kontrolleri yardımcı araçlardır; eksiksiz veya hatasız olduğu garanti edilmez ve sizin kontrol yükümlülüğünüzü ortadan kaldırmaz.
• Otomatik özellikleri açmak, bu özelliklerin yaptığı her işlemi (ilan açma, fiyat değiştirme, stok kapatma, sipariş verme, mesaj gönderme, takip numarası yükleme) sizin yapmış sayılmanız sonucunu doğurur. Ayarlarınızı, siparişlerinizi ve uyarıları düzenli olarak kontrol etmek sizin sorumluluğunuzdadır.
• Alıcılarınıza karşı (teslimat, iade, garanti, iletişim, alıcı koruması) tüm yükümlülükler size aittir.

5. Hesaplar, eklenti ve erişim izinleri

Hesap bilgilerinizin doğruluğundan ve güvenliğinden siz sorumlusunuz. Chrome eklentisi, işini yapmak için tarayıcınızda açtığınız eBay ve Amazon oturumlarını kullanır, sayfaları okur ve sizin talimatınızla işlem yapar; eBay bağlantısı, eBay izin ekranında verdiğiniz yetkiyle çalışır. Bu erişimlere izin verdiğinizi kabul edersiniz. Eklentinin çalışması için bilgisayarınızın açık ve internete bağlı olması gerekir. Hesabınızı başkasıyla paylaşamaz, devredemez veya satamazsınız. Kişisel verilerin işlenmesi Gizlilik Politikası'na tabidir.

6. Ücretler, komisyon ve ödemeler

Hizmetin ücretleri ve komisyon oranları panelde (Komisyon sayfası ve ilgili ekranlar) gösterilir ve bu Sözleşmenin parçasıdır. Komisyon, panelde açıklanan şekilde, Hizmet aracılığıyla listelenen ürünlerin satışları üzerinden hesaplanır. Ödenen ücretler ve komisyonlar iade edilmez. Haksız ödeme itirazı (chargeback) açmak Sözleşmenin esaslı ihlalidir; Hizmetin sonuçlarından memnun olmamak itiraz gerekçesi değildir. Vergileriniz size aittir.

Ödeme süresi. Komisyon, ilgili satışın bedeli eBay tarafından size ödendikten sonraki üç (3) iş günü içinde ödenir. Satış gerçekleştikten sonra eBay'in fonlarınızı tutması, dondurması, geciktirmesi veya el koyması komisyon borcunu ortadan kaldırmaz ve ertelemez; bundan Botego sorumlu değildir.

Gecikme. Komisyon vadesinde ödenmezse panel ve eklenti erişiminiz bildirim gerekmeksizin askıya alınır ve tahsilat işlemleri başlatılır. Avukatlık ücretleri, tahsilat ajansı ücretleri ve dava masrafları dahil tüm tahsilat masrafları borçluya aittir.

7. Garanti yoktur

Hizmet "OLDUĞU GİBİ" ve "MEVCUT OLDUĞU ŞEKİLDE" sunulur. Botego; satış, kâr, gelir, mağaza sağlığı, ilan görünürlüğü, eşleştirmenin doğruluğu, fiyat ve stok verilerinin güncelliği, kesintisiz veya hatasız çalışma dahil hiçbir sonucu garanti etmez ve ticari elverişlilik, belirli bir amaca uygunluk ve ihlal etmeme garantileri dahil tüm açık ve zımni garantileri reddeder. Hizmet bir yatırım ürünü değildir; hukuki, vergi, muhasebe veya finansal danışmanlık sunmaz. Web sitesindeki, videolardaki, toplantılardaki, WhatsApp grubundaki veya e-postalardaki örnekler, kazanç rakamları ve açıklamalar bağlayıcı değildir; bunlara dayanmadığınızı kabul edersiniz.

8. Sorumluluğun sınırı

Yasaların izin verdiği en geniş ölçüde: (a) Botego, kâr, gelir, satış, veri, itibar veya mağaza kaybı, eBay/Amazon hesabının kapanması, bekletilen paralar, iadeler, alıcı talepleri, cezalar ve dolaylı, arızi, özel, örnek niteliğinde veya cezai zararlardan, bu zararların olasılığı bildirilmiş olsa bile sorumlu değildir; (b) Botego'nun bu Sözleşmeden veya Hizmetten doğan toplam sorumluluğu, hangi hukuki sebebe dayanırsa dayansın, talebe yol açan olaydan önceki 12 ayda sizin Botego'ya fiilen ödediğiniz tutarı aşamaz.

9. Tazmin

Ürünleriniz, ilanlarınız, siparişleriniz, eBay/Amazon hesaplarınız, Sözleşmeyi veya bir kanunu ya da üçüncü kişi hakkını ihlal etmeniz ve Hizmeti kullanma şeklinizden doğan her türlü talep, zarar, ceza, masraf ve avukatlık ücretine karşı Botego'yu, yöneticilerini, çalışanlarını ve iş ortaklarını savunmayı, tazmin etmeyi ve zarardan korumayı kabul edersiniz.

10. Yasak kullanımlar

Hizmeti; kanuna, eBay veya Amazon kurallarına aykırı amaçlarla, sahte/çalıntı/taklit ürünler için, başkalarının hesaplarıyla, ödeme dolandırıcılığı için kullanamaz; yazılımı kopyalayamaz, tersine mühendislik yapamaz, alt lisans veremez, rakip bir ürün geliştirmek için kullanamaz, sistemi aşırı yükleyemez veya güvenlik önlemlerini aşmaya çalışamazsınız.

11. Fikri mülkiyet ve gizlilik

Yazılım, eklenti, panel, veritabanları, eşleştirme yöntemleri ve içerikler Botego'ya aittir; size yalnızca Sözleşme süresince, kişisel ve devredilemez, münhasır olmayan bir kullanım lisansı verilir. Hizmet hakkında öğrendiğiniz kamuya açık olmayan bilgileri gizli tutarsınız. Bize ilettiğiniz öneri ve geri bildirimleri bedelsiz kullanabiliriz.

12. Askıya alma ve fesih

Botego, tek taraflı ve sebep göstermeksizin Hizmeti değiştirebilir, durdurabilir, hesabınızı askıya alabilir veya kapatabilir. Siz de dilediğiniz zaman kullanmayı bırakabilirsiniz. Fesih, ödenmiş ücretlerin iadesini gerektirmez ve fesihten önce doğan borçları ortadan kaldırmaz. Vadesi geçmiş komisyon borcu, erişimin askıya alınması ve tahsilat sebebidir (Madde 6).

13. Sözleşmenin güncellenmesi

Botego bu Sözleşmeyi dilediği zaman güncelleyebilir. Güncel sürüm bu sayfada yayımlandığı anda yürürlüğe girer; panelde, eklentide, e-postayla veya duyuruyla ayrıca bildirim yapılabilir. Güncellemeden sonra siteyi, paneli, eklentiyi veya Hizmetin herhangi bir bölümünü kullanmaya devam etmeniz, güncel sürümü kabul ettiğiniz anlamına gelir. Kabul etmiyorsanız Hizmeti kullanmayı bırakmanız ve eklentiyi kaldırmanız gerekir. Panel, yeni sürümü açıkça onaylamanızı da isteyebilir. Değişiklikler panelde duyuru olarak da bildirilir; duyurunun okunmamış olması güncel sürümün yürürlüğünü etkilemez.

14. Uyuşmazlıkların çözümü: önce görüşme, sonra bireysel tahkim

• Önce görüşme: Bir uyuşmazlıkta önce panelde "Sorun bildir" ile ya da Botego'nun adresine yazılı bildirim göndererek talebinizi ve dayanağını açıklarsınız; taraflar 60 gün boyunca iyi niyetle çözüm arar. Bu süre dolmadan tahkim veya dava başlatılamaz.
• Bağlayıcı tahkim: Çözülemeyen tüm uyuşmazlıklar, Amerikan Tahkim Derneği'nin (AAA) Ticari Tahkim Kuralları'na göre tek hakemle, Delaware Eyaleti'nde (taraflar kabul ederse çevrim içi) nihai ve bağlayıcı olarak çözülür. Hakem kararı yetkili mahkemelerde tenfiz edilebilir.
• Toplu dava yok: Talepler yalnızca bireysel olarak ileri sürülebilir. Toplu dava (class action), toplu tahkim, temsili dava veya birleştirilmiş yargılamaya katılmaktan ve bunları başlatmaktan feragat edersiniz.
• Jüri feragati: Jüri önünde yargılanma ve mahkemede dava açma hakkından (tahkim kararının tenfizi ve ihtiyati tedbir hariç) feragat edersiniz.
• Süre: Her türlü talep, talebe yol açan olaydan itibaren 1 yıl içinde ileri sürülmelidir; aksi halde düşer.
• Bu Sözleşme, kanunlar ihtilafı kuralları uygulanmaksızın Delaware Eyaleti hukukuna ve Federal Tahkim Kanunu'na tabidir.

15. Mücbir sebep

Doğal afet, savaş, salgın, resmi kararlar, internet/elektrik kesintisi, eBay, Amazon, ödeme veya kargo sistemlerindeki kesinti ve değişiklikler gibi makul kontrolümüz dışındaki olaylardan doğan gecikme veya aksaklıklardan sorumlu değiliz.

16. Diğer hükümler

Bu Sözleşme (Gizlilik Politikası ve panelde gösterilen ücret koşullarıyla birlikte) taraflar arasındaki anlaşmanın tamamıdır ve sözlü ya da yazılı tüm açıklamaların, pazarlama içeriklerinin ve grup mesajlarının önündedir. Bir hükmün geçersiz sayılması diğerlerini etkilemez; geçersiz hüküm uygulanabilir en yakın şekilde yorumlanır. Botego'nun bir hakkını kullanmaması feragat sayılmaz. 1. Parties and acceptance

These Terms of Service (the "Agreement") are between Botego Inc. ("Botego", "we", "us") and any individual or entity that uses dropshippingnedir.com, the dashboard, the Chrome extension or any related service (the "Service") ("User", "you"). You accept this Agreement electronically when you create an account, download the extension, or check the acceptance box; electronic acceptance has the same legal effect as a handwritten signature. Without acceptance you may not create an account, download the extension or use the Service. You represent that you are at least 18 years old, authorized to enter into this Agreement, and not subject to any sanction or prohibition.

2. Nature of the Service

The Service is a software tool that performs product research, matching, listing, price and stock monitoring, order preparation and similar tasks through your own eBay and Amazon accounts, on your instructions and settings. Botego is not a seller: it does not sell, buy, store or ship products, and it is not a party to your relationship with your buyers, eBay or Amazon. Botego is not your agent, partner, employee or representative. Botego is not affiliated with eBay Inc. or Amazon.com, Inc.; their names are used for identification only. During the beta period the Service may be incomplete, contain errors or be interrupted.

3. eBay, Amazon and dropshipping risk

You knowingly accept that:

• eBay's dropshipping policy may restrict or prohibit buying an item from another retailer (including Amazon) and having it shipped directly to your buyer. For this or any other reason, eBay may remove your listings, lower your selling limits, hold your funds, suspend or permanently close your store.
• Amazon may restrict purchases made for resale, shipments to buyer or gift addresses or your use of its account, cancel your orders, or close your account.
• eBay and Amazon may change their rules, prices, page structures and APIs without notice, and parts of the Service may stop working as a result.
• All of these risks are yours. Botego is not responsible for the decisions of eBay, Amazon, payment processors, carriers or buyers, or for their consequences (including store closure, held funds, returns, claims, penalties or account loss).

4. You are responsible for checking every product and listing

The Service may suggest products, match Amazon counterparts, calculate prices and, if you turn on features such as autopilot, automatic upload or automatic ordering, act on your behalf. All of these are automated estimates and may be wrong. Therefore:

• You must check every product added to your store, before and while its listing is live: that the product actually exists on Amazon, is in stock, that the match is the right product, option and quantity, that price and profit are correct, and that delivery time is acceptable.
• Compliance of the product and listing is your responsibility: intellectual property and trademark rights (including VeRO), eBay's prohibited and restricted items rules, product safety and recalls, products requiring age verification or licenses, customs, labeling, sales tax and other taxes, and consumer protection law.
• The Service's VeRO, block list, category, price and matching checks are aids only; they are not guaranteed to be complete or error-free and do not remove your duty to check.
• By turning on automated features, every action they take (opening listings, changing prices, ending stock, placing orders, sending messages, uploading tracking) is deemed taken by you. You are responsible for regularly reviewing your settings, orders and alerts.
• All obligations to your buyers (delivery, returns, warranty, communication, buyer protection) are yours.

5. Accounts, extension and access permissions

You are responsible for the accuracy and security of your account. To do its work, the Chrome extension uses the eBay and Amazon sessions open in your browser, reads pages and acts on your instructions; the eBay connection works with the authorization you grant on eBay's consent screen. You consent to this access. The extension only works while your computer is on and connected. You may not share, transfer or sell your account. Personal data is processed under our Privacy Policy.

6. Fees, commission and payments

Fees and commission rates are shown in the dashboard (the Commission page and related screens) and form part of this Agreement. Commission is calculated, as described in the dashboard, on sales of products listed through the Service. Fees and commissions paid are non-refundable. Filing an unjustified payment dispute or chargeback is a material breach; dissatisfaction with results is not a ground for a dispute. You are responsible for your own taxes.

Payment terms. Commission is due within three (3) business days after eBay pays you for the relevant sale. If eBay holds, freezes, delays or seizes your funds after a sale has been made, the commission remains owed and is not deferred; Botego is not responsible for any such action by eBay.

Late payment. If commission is not paid when due, your access to the dashboard and extension will be suspended without notice and collection action will begin. All costs of collection, including attorneys' fees, collection agency fees and court costs, shall be borne by the debtor.

7. No warranties

The Service is provided "AS IS" and "AS AVAILABLE". Botego does not guarantee any outcome, including sales, profit, revenue, store health, listing visibility, accuracy of matches, freshness of price and stock data, or uninterrupted or error-free operation, and disclaims all express and implied warranties, including merchantability, fitness for a particular purpose and non-infringement. The Service is not an investment product and does not provide legal, tax, accounting or financial advice. Examples, earnings figures and statements on the website, in videos, meetings, WhatsApp groups or emails are not binding, and you agree that you are not relying on them.

8. Limitation of liability

To the fullest extent permitted by law: (a) Botego shall not be liable for any loss of profit, revenue, sales, data, goodwill or store, closure of an eBay or Amazon account, held funds, refunds, buyer claims, penalties, or any indirect, incidental, special, exemplary or punitive damages, even if advised of their possibility; and (b) Botego's total aggregate liability arising out of or relating to this Agreement or the Service, under any legal theory, shall not exceed the amount you actually paid to Botego in the twelve (12) months preceding the event giving rise to the claim.

9. Indemnification

You agree to defend, indemnify and hold harmless Botego and its officers, directors, employees and partners from and against any claims, losses, penalties, costs and attorneys' fees arising out of your products, listings, orders, eBay or Amazon accounts, your breach of this Agreement or of any law or third-party right, and your use of the Service.

10. Prohibited use

You may not use the Service for unlawful purposes or in breach of eBay or Amazon rules, for counterfeit, stolen or fake products, with other people's accounts, or for payment fraud; and you may not copy, reverse engineer, sublicense or use the software to build a competing product, overload the system or attempt to circumvent security measures.

11. Intellectual property and confidentiality

The software, extension, dashboard, databases, matching methods and content belong to Botego; you receive only a personal, non-transferable, non-exclusive license to use them during the term of this Agreement. You will keep confidential any non-public information about the Service. We may use your suggestions and feedback without compensation.

12. Suspension and termination

Botego may change or discontinue the Service and suspend or close your account at any time, with or without cause. You may stop using the Service at any time. Termination does not entitle you to a refund and does not release obligations accrued before termination. Overdue commission is grounds for suspension and collection (Section 6).

13. Changes to this Agreement

Botego may update this Agreement at any time. The updated version takes effect when it is posted on this page; we may also give notice in the dashboard, the extension, by email or by announcement. Your continued use of the website, dashboard, extension or any part of the Service after an update constitutes acceptance of the updated version. If you do not agree, you must stop using the Service and remove the extension. The dashboard may also ask you to confirm a new version expressly. Changes are also announced in the dashboard; not reading an announcement does not affect the effectiveness of the updated version.

14. Dispute resolution: negotiation first, then individual arbitration

• Informal negotiation first: You must first describe your claim and its basis through "Sorun bildir" in the dashboard or by written notice to Botego's address; the parties will try in good faith to resolve it for 60 days. No arbitration or court action may be started before this period ends.
• Binding arbitration: Any dispute not so resolved shall be finally resolved by binding arbitration before a single arbitrator under the Commercial Arbitration Rules of the American Arbitration Association (AAA), seated in the State of Delaware (or online if the parties agree). Judgment on the award may be entered in any court of competent jurisdiction.
• No class actions: Claims may be brought only on an individual basis. You waive the right to start or participate in any class action, class or mass arbitration, representative action or consolidated proceeding.
• Jury waiver: You waive any right to a jury trial and to litigate in court, except to enforce an arbitration award or seek injunctive relief.
• Time limit: Any claim must be brought within one (1) year after the event giving rise to it, or it is permanently barred.
• This Agreement is governed by the laws of the State of Delaware, without regard to conflict-of-law rules, and by the Federal Arbitration Act.

15. Force majeure

We are not liable for delays or failures caused by events beyond our reasonable control, including natural disasters, war, epidemics, government actions, internet or power outages, and outages or changes in eBay, Amazon, payment or carrier systems.

16. Miscellaneous

This Agreement (together with the Privacy Policy and the fee terms shown in the dashboard) is the entire agreement between the parties and supersedes all oral or written statements, marketing materials and group messages. If any provision is held invalid, the rest remain in effect and the invalid provision is read in the closest enforceable way. Botego's failure to enforce a right is not a waiver. You may not assign this Agreement without Botego's written consent; Botego may assign it. Limitation of liability, indemnification, arbitration, the class action waiver, confidentiality and payment obligations survive termination. Notices to you may be given by email, in the dashboard or in the extension; notices to Botego must be given through "Sorun bildir" in the dashboard or in writing to the address above. This Agreement is drafted in English; if translated, the English version controls.
